Terms of Service
Last updated: 29 October 2026
These terms apply to businesses that use Avokado (“Customer”, “you”), provided by Aleksandr Kadesnikov, sole trader, Company ID (IČO) 23037717, Olgy Havlové 2931/37, 130 00 Praha 3 – Žižkov, Czech Republic (“Avokado”, “we”). Avokado is offered to businesses only, not to consumers.
1. The service
Avokado is an AI assistant that replies to messages your clients send you on Instagram, Facebook Messenger, WhatsApp, Telegram and in a chat window on your website. Depending on your setup, it answers questions based on the information you provide, offers and books appointments, records inquiries as leads, notifies your staff and hands conversations over to them. You get access to a dashboard to review conversations and manage the assistant’s instructions. The features, setup and fees for your account are set out in your individual offer or order. If your offer or contract differs from these terms, the offer or contract prevails.
2. Your responsibilities
- Provide accurate and lawful information for the assistant — services, prices, policies — and keep it up to date.
- Have the rights to the messaging accounts you connect, and follow the terms and policies of the platforms involved, including Meta’s Platform Terms, Instagram’s and WhatsApp’s policies, the WhatsApp Business Policy and Telegram’s terms.
- Inform your clients about the processing of their data in your own privacy notice and make sure you have a legal basis for it.
- Don’t use Avokado for spam or unsolicited messages, unlawful content, or to give medical, legal or financial advice on which people rely.
- Keep your dashboard access credentials confidential and tell us promptly about any misuse.
3. AI-generated replies
Replies are generated by AI language models and can be incomplete or wrong. The assistant is designed to answer from your instructions and to hand conversations to your staff when it can’t help, but you remain responsible for the information you give it and for your offers to your clients, and you should monitor conversations regularly. We don’t guarantee any particular result, such as a number of bookings or sales.
Every conversation starts with a note that the client is talking to an AI assistant. This note is part of the service and can’t be switched off.
4. Data protection
We process your clients’ personal data on your behalf as your processor. The details are set out in a data processing agreement under Art. 28 GDPR, which forms part of our contract. How we handle data is also described in our Privacy Policy.
5. Fees
Fees are set out in your offer. Unless agreed otherwise, invoices are due within 14 days. You can set a monthly budget for AI usage; when it’s reached, conversations are handed to your staff instead of being answered by the assistant.
6. Availability and third-party platforms
We work to keep Avokado available at all times but can’t guarantee uninterrupted operation, for example during maintenance. Avokado depends on third-party platforms and providers — such as Meta, Telegram, Manychat, Chatwoot, Google and AI model providers. We’re not responsible for their outages or for changes to their services, terms or APIs, but we’ll do what we reasonably can to limit the impact on you.
7. Intellectual property
We keep all rights to the Avokado software and website. You keep all rights to your content — your instructions, knowledge base and conversation data — and grant us the right to use it only to provide the service to you.
8. Liability
We’re liable without limitation for damage caused intentionally or through gross negligence and for harm to life or health, and wherever the law doesn’t allow liability to be limited. In all other cases, our liability is limited to damage that was foreseeable when the contract was made, and in total to the fees you paid us in the 12 months before the damage occurred. We’re not liable for lost profit or for damage caused by content or instructions you provided.
9. Term and termination
The term and notice periods are set out in your offer. If nothing is agreed, either party may terminate with 30 days’ notice to the end of a calendar month. The right to terminate for good cause remains unaffected. After the contract ends, we delete your account data and your clients’ data within 30 days, unless we’re legally required to keep it.
10. Final provisions
These terms and our contract are governed by the law of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code, excluding the UN Convention on Contracts for the International Sale of Goods. Disputes will be decided by the competent courts of the Czech Republic. We may update these terms; we’ll notify you of changes at least 30 days in advance, and you may object or terminate before they take effect. If any provision is invalid, the rest of the terms remain in force.
